Terms and Conditions for the Nourish + Bloom Market App

Provider and Scope of Application Nourish + Bloom Market ("N+B") is the provider of a mobile application called "Nourish + Bloom" ("App") for customers ("Users") to access and make purchases at Nourish + Bloom autonomous grocery stores. The App operates on iOS and Android platforms.

These Terms and Conditions ("Agreement") govern all services offered via the App, now and in the future. N+B reserves the right to amend these Terms with 8 weeks' notice, provided changes are reasonable and due to technological updates, legal changes, or improvements. Users will be notified by email, and continued use after the objection period implies acceptance. Users may terminate use if they disagree with amended terms.

Subject Matter This Agreement governs the provision and use of the App, including access and purchases at N+B stores. The App must be downloaded from a valid app store and may require a Wi-Fi or mobile data connection. Users are responsible for any data charges.

Availability N+B will maintain an average annual availability rate of 98%. Scheduled and unscheduled maintenance, force majeure events, and factors outside N+B’s control are excluded from this calculation. Users will be notified of planned maintenance when possible.

Registration Users must register to use the App for personal household use only. Registration includes providing name, email, mobile number, and password, with OTP verification. Payment details must be added during registration and are securely handled by Stripe, Inc. ("Stripe"), a PCI-compliant payment processor. Users will be redirected to Stripe’s secure platform to enter payment data. Stripe’s terms of service and privacy policy apply. N+B does not store full payment credentials.

By submitting registration data, Users offer to enter a license agreement. N+B may verify identity and accept or reject registration. Users will receive an activation

Login Details and Passwords Users must keep contact info current and credentials secure. Notify N+B immediately of any unauthorized access or misuse. Users are responsible for actions taken using their login if due to their negligence.

Grant of Rights Users receive a non-exclusive, non-transferable, and non-sublicensable right to use the App per these terms. Users may not modify, reverse-engineer, lease, or distribute the App. This applies to updates, upgrades, and add-ons.

Accessing the N+B Market Store Users access stores via QR code generated by the App. Guests may accompany Users but may not make purchases. Sensors and turnstiles ensure one individual enters per scan. Items removed from shelves by Guests are added to the User’s cart.

Purchase and Payment Items on shelves are offers to purchase. Removing an item adds it to a virtual cart using computer vision and shelf sensors. If an item is not wanted, it must be returned to the shelf.

Camera data is anonymized using skeleton tracking and is not viewable by humans or machines. This data updates the cart in preparation for checkout.

A purchase contract is formed when the User exits through the turnstile with merchandise. The User consents to assignment of payment receivables to Stripe. The User’s payment method on file with Stripe will be charged. Cash payments are not accepted. Users will receive an email receipt and can view purchases in the App.

Term and Termination This agreement is indefinite and may be terminated anytime by either party. Users can delete their account via the App or submit a written termination request. Termination for cause remains unaffected.

Liability N+B is liable for intentional misconduct, gross negligence, and personal injury. For simple negligence, liability is limited to breach of essential obligations and foreseeable damages. These limitations extend to N+B’s agents and subcontractors. Product liability and warranties remain unaffected.

Breach of Terms Users agree not to misuse the App or violate applicable laws or third-party rights. N+B may block access for significant breaches.

General Provisions The contract language is English. This Agreement shall be governed by the laws of the State of Georgia, USA, without regard to its conflict of law provisions. If any part is invalid, the remaining terms remain in effect.

N+B does not participate in EU online dispute resolution or any consumer conciliation body.

Security and Data Protection All transmissions are encrypted via TLS. Personal data is encrypted at rest and in transit. In case of a data breach, N+B will notify affected users in accordance with applicable laws.

User Data and Trademarks N+B may use anonymized usage data to improve services. Trademarks, logos, and brand assets are property of N+B and may not be used without written consent.
